Terms and Conditions
1. Introduction
Welcome to ESG Gate (the “Platform”), operated by KRH (Company Code: 91310000MA1GQ2), with registered address at Fulian Road 177, Shanghai, China (“Company”, “we”, “us”, or “our”).
ESG Gate is a platform that consolidates services and products related to ESG (Environmental, Social, Governance) and sustainability. Providers from strategy, finance, and related fields may list their offerings on the Platform.
By accessing or using ESG Gate, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree, please do not use the Platform.
2. Definitions
- “Provider” – any third party (individual or entity) that lists services or products on ESG Gate.
- “User” – any person or entity browsing or using the Platform, including Providers and end-clients.
- “Connection” – any referral, introduction, or contact facilitated by ESG Gate between a User and a Provider.
- “Membership” – any paid subscription that grants Users additional access or features.
3. No Charge for Listing; Our Revenue Model
3.1 Providers are not charged any fee to list their services or products on ESG Gate.
3.2 ESG Gate may generate revenue through:
- Fees for successful connections between Users and Providers (e.g., commission or referral fee).
- Membership fees for Users who subscribe to enhanced Platform features.
3.3 The Company makes no representation that any Provider will receive connections or clients through the Platform.
4. Role of ESG Gate – No Agency or Endorsement
4.1 ESG Gate is a neutral matching and directory platform only. We do not:
- Provide ESG, strategy, or financial advice.
- Endorse, certify, or guarantee any Provider’s products, services, or credentials.
- Act as an agent, employer, or partner of any Provider or User.
4.2 Any agreement between User and Provider is solely between them. ESG Gate is not a party to any transaction, contract, or engagement.
5. User Obligations
5.1 You agree to use the Platform lawfully and for legitimate ESG/sustainability-related purposes.
5.2 You must not:
- Misrepresent your identity, qualifications, or offerings.
- Use the Platform to engage in fraud, money laundering, or any illegal activity.
- Scrape, copy, or reverse-engineer Platform content.
6. Provider-Specific Terms
6.1 Providers are solely responsible for:
- Accuracy of their profile, listings, and any claims.
- Compliance with all applicable laws (including data protection, anti-bribery, and financial regulations).
6.2 Providers acknowledge that ESG Gate may remove any listing at its sole discretion if it violates these Terms or applicable law
7. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW:
- THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”.
- WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES.
- WE ASSUME NO RESPONSIBILITY FOR THE ACCURACY, RELIABILITY, OR QUALITY OF ANY PROVIDER’S LISTING OR SERVICE
8. Limitation of Liability (Low Risk for Company)
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
8.1 IN NO EVENT SHALL THE COMPANY (KRH) OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL).
- ANY DAMAGES ARISING FROM:
- YOUR USE OR INABILITY TO USE THE PLATFORM;
- ANY CONNECTION, TRANSACTION, OR DISPUTE BETWEEN USERS AND PROVIDERS;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA.
8.2 TOTAL AGGREGATE LIABILITY OF THE COMPANY FOR ALL CLAIMS ARISING FROM THESE TERMS OR USE OF THE PLATFORM SHALL NOT EXCEED TEN U.S. DOLLARS ($10.00) OR THE EQUIVALENT IN CNY.
8.3 You acknowledge that the Platform is provided without charge to Providers, and this limitation reflects that commercial arrangement.
9. Full Indemnification
You agree to indemnify, defend, and hold harmless KRH, its affiliates, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your breach of these Terms;
- Your violation of any law or third-party rights;
- Any dispute between you and another User or Provider;
- Any transaction or engagement entered into through the Platform;
- Any content you submit to the Platform that is inaccurate, misleading, or unlawful.
This indemnification obligation survives termination of these Terms
10. Third-Party Links and Content
ESG Gate may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of those websites.
11. Intellectual Property
All content on ESG Gate (except User/Provider submissions) is owned by KRH or its licensors. You may not copy, distribute, or create derivative works without our prior written consent.
12. Termination
We may suspend or terminate your access at any time, without liability, for any reason, including violation of these Terms
13. Governing Law & Dispute Resolution
13.1 These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China.
13.2 Any dispute arising from these Terms or your use of the Platform shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for arbitration in Shanghai, in accordance with its rules. The arbitration award shall be final and binding.
13.3 No class actions or consolidated arbitrations are permitted.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of ESG Gate after changes constitutes acceptance.
